Dronamics plans a Nasdaq listing through a merger with an already-listed company, at a valuation of about $500 million. The company manufactures and operates cargo drones. It was founded in Sofia in 2014 by brothers Svilen and Konstantin Rangelov and is headquartered in London. Aviation Week reported the project on 4 November 2026; Dealroom published the same value the same day.

The structure chosen is that of a SPAC: an already-listed vehicle absorbs the company, whose shareholders vote on the merger, and access to the listing is achieved without a conventional IPO. The elements made public give neither the name of the vehicle, nor the post-merger shareholding structure, nor the timetable of the transaction. Neither the identity of the sponsor nor that of the advisory banks appears in the published information.

The price is understood by comparing it with the latest round. In June 2025, Dronamics raised $35 million at a valuation of $139 million, according to Dealroom's funding history. A convertible financing followed in April 2026 with Asia Air Survey, recorded at zero dollars, which leaves the amount undisclosed. Total declared equity stands between $50 million and $100 million, of which more than $40 million was provided by Speedinvest, Founders Factory and the European Innovation Council. Between June 2025 and the stated target, the retained value is multiplied by 3.6 in seventeen months.

Contracts, fleet and timetable absent from the documents

Dronamics operates as a developer, manufacturer and licensed airline at the same time, with a logistics offering sold as a service. The company holds the first European cargo drone airline licence, obtained in 2022, which covers operations in the member states. In 2023, it received IATA and ICAO designator codes. These codes identify a carrier in reservation and air navigation systems.

The Black Swan flew for the first time in May 2023. The first drone ports are due to be built in the Mediterranean, before an extension to underserved areas of the Union. Dealroom's profile mentions search and rescue, emergency relief, humanitarian aid, aerial firefighting and national security missions.

On existing customers, the announcement remains silent. No effect is described on ongoing contracts, support conditions or fleet maintenance. The free float volume, the listing date and expected revenues do not appear in the published information. The 2022 licence covers the member states; each route remains subject to national flight authorisations, and no timetable for entry into commercial service is associated with the stock market transaction. The link between the announced drone ports and this licence is not documented.

Fifty times revenues, at the top of the range

Dronamics' public profile gives revenues of $1 million to $10 million for the last reported financial year, with a headcount of 112 people and operational status. The range covers a factor of ten. Taken at the top of this range, the targeted $500 million represents fifty times revenue; at the bottom, the ratio reaches five hundred.

The Black Swan's characteristics are documented: 350 kg payload, the same order as a small delivery van, a 2,500 km range, enough to connect most of Europe, and 400 m of runway sufficient to land. Dronamics announces journeys up to 80% faster, 50% cheaper and with 60% lower emissions than conventional air freight.

The targeted market exists. Europe has more than 2,000 airports, and fewer than 1% of them receive cargo aircraft, according to figures cited by the company. Freight today passes through the large hubs capable of accommodating long-haul aircraft, and the Black Swan's 400 m of runway open up another network.

The listing sets two values against each other: $500 million on one side, a revenue range of $1 million to $10 million on the other. Relative to the 112 employees, the price implies about $4.5 million per person. The available documents do not allow a decision to be reached, for lack of a timetable, free float and revenue forecasts.
