AIBotics acquires PlayJamaica's drone and AI business for 225,000 dollars
What the acquired business actually does
The transferred scope covers mapping, geolocation, automation, artificial intelligence and drone services. AIBotics Inc, a Miami-based technology company, is taking control of the NovaCore Labs business of PlayJamaica Ltd, according to filings with the Securities and Exchange Commission (SEC). The asset schedules mention commercial drones, Google Street View mapping equipment and a dedicated mapping vehicle. Ben Kaplan, chief executive of AIBotics, states that the package comprises ten service robots, six commercial drones and three field generators, together with the associated operating methods and standard operating procedures. The transfer also includes the NovaCore Labs brand, customer and supplier data, software, intellectual property, customer contracts, educational partnerships and a customer base built up over a decade.
The asset purchase agreement was signed on 12 October and the transaction was completed on 14 October, again according to the SEC filings. NovaCore Labs took part in the Google Street View mapping initiative in Jamaica and worked with the University of Technology and the University of the West Indies Global Campus. These relationships are among the assets described by the acquirer.
The share-based price and the revenue thresholds
The initial price of USD 225,000 is not paid in cash. It consists of series B preferred shares issued at closing. Up to a further USD 3 million of preferred shares may be added, tied to cumulative gross revenue targets. The thresholds set are USD 500,000, USD 1.5 million, USD 3 million and USD 5 million over a four-year period. Each threshold reached triggers USD 750,000 of additional consideration, Ben Kaplan states. The total can therefore reach USD 3.2 million if all four tiers are crossed.
This structure places most of the value in the future growth of the acquired business, not in the immediate payment. The SEC filings do not give NovaCore Labs' current revenue, nor the timetable planned for reaching each threshold. Nor do they specify the valuation used for the series B preferred shares.
What the documents do not specify about the hardware
The documents do not give the model of the six commercial drones, nor their sensors, payload, endurance or flight hours. Nor do they describe the ten service robots, their exact function or their condition. The mapping vehicle and the Google Street View equipment are named without a specification sheet. No unit price, no availability timetable and no field feedback appear in the published material.
These gaps matter to an operator who would want to compare the package with an existing fleet. A commercial drone can be used for mapping, inspection or surveillance, with very different sensors and payloads. The documents filed with the SEC describe a scope of assets and revenue targets, not measured performance. The exact nature of the services sold to NovaCore Labs' customers therefore remains to be established.
Use within an existing fleet and the checks to be carried out
AIBotics presents the transaction as the acquisition of a local platform, not of a stock of hardware. Ben Kaplan states that the company could buy robots and drones itself, but could not easily recreate the local management, the customer and institutional relationships, the operating history and the knowledge of the Jamaican market. Customer contracts, supplier data and the partnerships with the University of Technology and the University of the West Indies Global Campus therefore make up part of the value.
For an existing fleet, the documents describe no compatibility with drones already in service, nor any migration from a previous generation. The six drones and the ten robots are transferred as assets, with no detail on the control software, data formats or management interfaces. An operator seeking to integrate this kind of package would need to obtain the models, the certificates available, the condition of the fleet and the maintenance terms. This information is not in the SEC filings, nor in Ben Kaplan's answers quoted by the Jamaica Gleaner.
The transaction has been completed since 14 October. The revenue thresholds run over four years, with a maximum of USD 3.2 million in shares. The unit price of the equipment, its commercial availability and operational feedback remain absent from the file.
